AGREEMENT TO OUR LEGAL TERMS

These Terms of Use ("Legal Terms") are a legally binding agreement between you ("you" or "user") and LocalLinked Ltd ("Company," "we," "us," or "our"), concerning your access to and use of our services, including the LocalLinked mobile application and any related features, websites, or content (collectively, the "Services"). By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Legal Terms. If you do not agree with these Legal Terms, please do not use the Services.

These Legal Terms apply regardless of how you access the Services - whether through our app, a website, or another method. We may post supplemental terms for specific features, and these will form part of your agreement with us.

We reserve the right to modify or update these Legal Terms at any time. When we do, we’ll update the "Last updated" date above. While we may notify you of major changes, it's your responsibility to check back from time to time. Your continued use of the Services means you accept any changes made.

We encourage you to print or save a copy of these Legal Terms for your records.

Modification Notification

1. OUR SERVICES

The information and services we offer are intended only for lawful use and not for distribution in jurisdictions where such use would be contrary to local law or require additional regulatory compliance. If you choose to access our Services from a different region, you do so at your own initiative and are fully responsible for local law compliance.

2. INTELLECTUAL PROPERTY RIGHTS

We hold full rights to all content within our Services, including software, source code, databases, designs, text, images, trademarks, logos, and related materials (collectively, the "Content" and "Marks"). These materials are protected under copyright, trademark, and other relevant intellectual property laws.

By using the Services, we grant you a limited, non-exclusive, non-transferable license to access and use the Services and download or print a copy of Content for your personal, non-commercial use. You agree not to copy, sell, publish, or otherwise exploit any Content for commercial purposes without prior written permission from us.

3. USER REPRESENTATIONS

By using the Services, you confirm that:

You have the legal right to enter into this agreement;
You will not use automated tools to access the Services;
Your use of the Services will not violate any laws.
By using the Services, you represent and warrant that you are at least 16 years of age. If you are under 16, please do not use or access our Services. We do not target our Services to anyone under 16 years of age, and we do not knowingly collect personal information from individuals under 16. If we discover that a person under 16 has provided us with personal information, we will take steps to delete such information.
You are currently affiliated with a recognised UK higher education institution as a student, staff member, lecturer, researcher, or other academic community member, and you agree to provide a valid ".ac.uk" university email address for verification where required.

We reserve the right to suspend or terminate your account if you provide false or incomplete information.

4. PROHIBITED ACTIVITIES

You agree not to use the Services for any illegal, abusive, or unauthorized activities. This includes but is not limited to:

Harvesting or scraping data
Disrupting or interfering with system performance
Uploading viruses or malware
Harassing other users
Circumventing security features
Using bots or automated systems to access the Services
Violating intellectual property rights
Attempting to reverse-engineer our software
Falsifying or misrepresenting your affiliation with a recognised higher education institution or using another individual's credentials to access offers restricted to verified users.
Attempting to tamper with, clone, or fraudulently interact with our NFC terminals

Any misuse of the platform may result in immediate termination of your account.

4.1 POINT SYSTEM TERMS

LocalLinked operates a points-based rewards system subject to the following terms:

Points are awarded for specific activities: for visiting partner locations, redeeming exclusive meal deals, and for attending our community events.
Points have no monetary value and cannot be purchased, sold, traded, or transferred between accounts.
Points exist solely within the LocalLinked ecosystem and cannot be converted to cash or other currencies.
Points issued during the MVP do not currently expire. If we introduce an expiry period we will give at least 30 days’ notice.
We reserve the right to adjust point values, expiration policies, or redemption requirements with reasonable notice.
Any attempt to manipulate, hack, or fraudulently generate points will result in account termination and forfeiture of all accumulated points.
Upon account closure, all accumulated points are forfeited.

4.2 PRIZE POOL TERMS

LocalLinked operates free prize pools subject to the following terms:

Participation in the prize pool requires no purchase and uses only points accumulated through normal app usage.
Winners are selected via a random computerized selection process from all eligible entries.
The specific point cost for entry, prize details, and entry periods will be clearly displayed for each prize draw.
We reserve the right to verify the eligibility of any winner before awarding prizes.
Winners will be notified via the app and their registered email address and must respond within the specified timeframe to claim prizes.
Unclaimed prizes may be reallocated at our discretion.
LocalLinked is not responsible for the quality of prizes provided by partner businesses.
We reserve the right to substitute prizes of equal or greater value if the original prize becomes unavailable.

5. USER GENERATED CONTRIBUTIONS

We may allow you to contribute content - text, feedback, images, or other materials ("Contributions"). You remain the owner of your Contributions but grant us a license to use, display, and share them as part of our Services. You confirm your Contributions:

Are original and lawful;
Do not violate others’ rights;
Are not defamatory, threatening, or harmful;
Are not confidential.

6. CONTRIBUTION LICENSE

By submitting Contributions, you grant us a worldwide, royalty-free, sublicensable license to use and display them for any purpose connected to our Services. We may share, process, or adapt Contributions as needed. You will not be compensated for use of your feedback or ideas.

7. SERVICES MANAGEMENT

We reserve the right to:

Monitor the Services for rule violations
Restrict or remove access to users or content
Disable access to content that burdens our systems
Report activity to legal authorities if necessary
Protect the integrity of our Services

8. TERM AND TERMINATION

These Legal Terms remain in effect as long as you use our Services. We reserve the right to deny access to any user, for any reason, and without notice - including blocking IP addresses or deleting accounts - particularly if there is a breach of these Terms or any applicable law.

Account Termination Process

If we determine that a user has violated these Terms, we may take any of the following actions:

Issue a warning
Temporarily suspend account access
Permanently terminate the account

Prior to permanent termination for violations (except in cases of serious breaches), we will typically provide notice and an opportunity to remedy the violation where appropriate. If your account is terminated:

You will receive notification via your registered email address
You may appeal the decision within 14 days by contacting portsmouth@locallinked.co.uk
Any accumulated points or rewards may be forfeited
You may request a copy of your data before full deletion

Upon account termination, we will retain your personal data only as long as necessary for legal compliance, after which it will be securely deleted in accordance with our Privacy Policy.

If we terminate your account, you may not create another without our permission.

9. MODIFICATIONS AND INTERRUPTIONS

We may modify, suspend, or discontinue any part of the Services at any time, for any reason. While we aim to offer consistent availability, we cannot guarantee uptime and accept no liability for interruptions, delays, or outages. You acknowledge that service issues may occur and agree not to hold us liable.

9.1 FORCE MAJEURE

Neither party shall be liable for any failure or delay in performing their obligations under these Terms where such failure or delay results from events beyond the reasonable control of either party. Such events include, but are not limited to, acts of God, natural disasters, terrorism, riots, war, epidemics, pandemics, power failures, server crashes, fire, flood, explosion, failure of public or private telecommunications networks, or any other unforeseen circumstances that render performance commercially impracticable.

If we are affected by such an event, we will communicate with users as soon as reasonably possible to provide updates and will take reasonable steps to minimize disruption to our Services.

10. GOVERNING LAW

These Legal Terms shall be governed by the laws of England and Wales. Any disputes arising from these Terms shall fall under the exclusive jurisdiction of the courts of England and Wales.

11. DISPUTE RESOLUTION

Before filing any legal action, you agree to attempt informal resolution of any disputes by contacting us directly. If unresolved, disputes will be referred to binding arbitration in accordance with UK arbitration standards. Exceptions apply for claims relating to intellectual property or breach of confidentiality.

Class Action Waiver

To the extent permitted by law, you and LocalLinked Ltd agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative action. Unless both you and LocalLinked Ltd agree otherwise, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

12. COMMUNITY EXPECTATIONS AND RESPECT

LocalLinked is built on trust, respect, and shared community values. Whether you’re discovering new places, attending events, or interacting with others, we ask all users to uphold the following:

Be kind and constructive: Communicate with courtesy and treat everyone, businesses, users, and hosts - with respect.
Respect differences: Embrace diverse opinions, backgrounds, and personal space in all interactions.
No offensive content: Do not post or share anything discriminatory, inappropriate, or harmful.
No harassment or spam: Avoid disruptive behaviour, targeted harassment, or spam across any part of the platform.
Zero tolerance for abuse: Bullying, hate speech, and abusive behaviour will not be tolerated under any circumstances.

Community Events

LocalLinked may organize or promote community events that award 100 points for attendance. By participating in these events, you agree:

To conduct yourself in accordance with our community standards
That we may collect data about your attendance for points verification
That we may take photographs or videos for promotional purposes
To follow any additional rules specific to individual events
That LocalLinked is not liable for any personal injury or property damage occurring during these events

If you experience or witness behaviour that violates these principles, please report it using our in-app tools or contact us directly.

By using LocalLinked, you agree to help us maintain a safe, inclusive, and respectful environment for all members of our community.

13. CORRECTIONS

Occasionally, there may be content on our Services that contains errors, inaccuracies, or omissions. We reserve the right to correct or update such content without prior notice.

14. DISCLAIMER

Our Services are provided “as-is” and “as available.” We make no warranties—express or implied - regarding the accuracy, security, or reliability of the Services. You use them at your own risk. We are not responsible for:

Errors or bugs
Loss of data or revenue
Third-party content or ads
Any damage caused by viruses or malware

Always use caution and good judgment when using the platform.

15. LIMITATIONS OF LIABILITY

To the fullest extent permitted by law, LocalLinked Ltd and its team will not be liable for any damages - direct, indirect, incidental, or otherwise - arising from your use of the Services. Our liability, if any, is limited to the amount you paid to us, if applicable.

16. INDEMNIFICATION

You agree to defend and indemnify LocalLinked Ltd and its affiliates against claims, damages, or liabilities resulting from:

Your use of the Services
Your violation of these Terms
Content or data you provide
Harm caused to other users

17. USER DATA

We maintain and back up user data for performance reasons, but you are responsible for all data you submit. We are not liable for data loss or corruption. Profile data and activity points may be shared with local businesses in aggregate or pseudonymised form, not including contact details or personal identifiers. For details on how we use and protect personal data, please review our Privacy Policy.

Business Partner Relationships

LocalLinked partners with local businesses to provide offers, deals, and prizes to our users. Our business partners agree to provide monthly prizes, meal deals, and discount vouchers to our user community. All offers are verified by LocalLinked before publication on our platform. We share aggregated or pseudonymized data with these partners, which may include statistics about foot traffic, redemption rates, and user engagement, but never personally identifiable information without explicit consent. Partners are contractually obligated to maintain the confidentiality of any shared data.

Data Retention and GDPR Compliance

We retain your personal data only for as long as necessary to fulfil the purposes for which it was collected, including for the purposes of satisfying any legal, regulatory, tax, accounting, or reporting requirements. Specifically:

Account information is retained for the duration of your active account plus 12 months after account closure or last activity
Transaction and points history is retained for 24 months for business analytics and fraud prevention
Communication records are kept for 18 months from the date of communication
Location data is retained for no more than 90 days from collection

You have the right to request deletion of your personal data at any time, subject to our legal obligations to retain certain information. Upon receiving a verifiable deletion request, we will delete or anonymize your personal data within 30 days, except where retention is required by law.

Points System and Data Sharing

Our platform includes a points-based reward system that tracks user engagement with local businesses and events. When you earn or redeem points, we collect data about these transactions, including the time, location, and nature of the interaction. We share aggregated or pseudonymized analytics with participating businesses, which may include:

Total visits or interactions from LocalLinked users
Popular times or days for LocalLinked user visits
Demographic trends (without identifying individual users)
Redemption rates of specific offers

We never share your full name, contact details, or precise location data with business partners without your explicit consent. All partners receiving such analytics are bound by contractual confidentiality obligations.

App Store Distribution

This application is available through the Apple App Store and Google Play Store. By downloading and using our application through these platforms, you acknowledge and agree that the terms of service of Apple Inc. and/or Google LLC may apply in addition to these Terms of Use. While we are responsible for the content and functionality of our application, the app stores may have additional requirements regarding refunds, in-app purchases, and other aspects of app usage. In the event of any conflict between these Terms and the applicable app store terms, the app store terms will prevail to the extent of such conflict.

18. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Using our Services, contacting us, or completing online forms counts as electronic communication. By doing so, you consent to receive communications from us electronically and agree to use electronic signatures for agreements and transactions.

19. MISCELLANEOUS

These Legal Terms, along with any additional policies or rules we post, represent the full agreement between you and us. If a part of these Terms is found to be invalid or unenforceable, the remaining parts remain valid. No partnership or joint venture is created by these Terms.

Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to an affiliate, successor entity, or as part of a merger, acquisition, or sale of assets without your consent.

Third-Party Links and Content

Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by LocalLinked Ltd. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that LocalLinked Ltd shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole. Such provision shall be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.

User Responsibility

If you have any allergies, intolerances, or specific dietary requirements (e.g., vegetarian, vegan, halal, kosher), it is your responsibility to communicate these clearly to the relevant business at the time of placing an order or booking a service. LocalLinked does not guarantee that food or drink provided by third-party businesses will be suitable for your individual dietary needs.

Third-Party Information

We may display dietary or allergen information as provided by businesses on our platform. While we aim to ensure accuracy, we cannot guarantee that such information is complete, up-to-date, or error-free. You should always confirm directly with the business before consumption.

No Liability

LocalLinked accepts no liability for any adverse reactions or consequences resulting from food or beverages consumed from third-party businesses, even where dietary information has been listed on our platform. Age-restricted offers (e.g., alcohol) require in-venue ID. The app does not yet perform age verification

21. MODIFICATION NOTIFICATION

While we reserve the right to modify these Terms at any time, for material changes that affect your rights or obligations, we will provide at least 30 days' notice before such changes take effect. This notice will be provided through email to your registered address and/or through a prominent notice within the application.

If you continue to use the Services after the effective date of any changes, you accept the revised Terms. If you do not agree with the revised Terms, you must stop using the Services before the changes take effect.
